These Terms and Conditions ("Terms") govern your use of the services provided by Loop Marketers ("we," "us," or "our"), including all related websites, platforms, and marketing networks, and your relationship with Loop Marketers as a user, affiliate, or client. By accessing or using any of our services, you agree to comply with and be bound by these Terms.
1. Acceptance of Terms
By accessing or using our services, including registering as an affiliate, client, or partner, you agree to these Terms and any additional policies, guidelines, or documents incorporated by reference. If you do not agree to these Terms, you must not use our services.
2. Services Provided
Loop Marketers is a pay-per-call marketing network that connects third-party marketing affiliates with businesses for the purpose of generating leads and facilitating phone calls. We provide a platform for affiliates to generate leads on behalf of businesses, but we do not place calls or directly engage in telemarketing activities.
3. Eligibility
To use our services, you must be at least 18 years old and have the legal capacity to enter into binding contracts. By using our services, you represent and warrant that you meet these eligibility requirements.
4. Affiliate Program
If you are registering as an affiliate, you agree to comply with all applicable laws and regulations, including those related to telemarketing, advertising, and privacy. You are solely responsible for ensuring that your marketing practices, including call generation and lead collection, comply with all legal and regulatory requirements.
- Affiliate Responsibilities: Affiliates must accurately represent the services they are promoting and must not engage in fraudulent, misleading, or unlawful advertising practices. Affiliates must also ensure that they adhere to the Do Not Call Policy and other compliance guidelines set forth by Loop Marketers.
- Compensation: Affiliates will be compensated based on the leads or calls they generate in accordance with the terms outlined in their affiliate agreement. Payments will be made in accordance with Loop Marketers' payment schedule.
5. Payment Terms
Payments for services rendered through Loop Marketers, including those made to affiliates, will be processed as per the agreed-upon terms in the affiliate agreement or client contract. Loop Marketers reserves the right to withhold payment if we detect fraudulent or non-compliant activity.
6. Prohibited Activities
You agree not to engage in any of the following prohibited activities:
- Fraudulent Practices: Engaging in fraudulent behavior, including generating fake leads or misrepresenting the services or products being offered.
- Violation of Laws and Regulations: Failing to comply with applicable federal, state, and local laws, including but not limited to the Telephone Consumer Protection Act (TCPA), Telemarketing Sales Rule (TSR), and National Do Not Call (DNC) Registry.
- Infringement of Intellectual Property: Using Loop Marketers' trademarks, logos, or proprietary content without authorization.
- Harmful Behavior: Attempting to harm or disrupt the integrity of our network, systems, or platforms.
7. Intellectual Property
All content, including text, graphics, logos, designs, and software associated with Loop Marketers, is owned by Loop Marketers or its licensors and is protected by intellectual property laws. You may not use any of Loop Marketers' intellectual property without prior written consent.
8. Privacy and Data Protection
We are committed to protecting your privacy and personal information. By using our services, you agree to our Privacy Policy, which outlines how we collect, use, and protect your data. Affiliates and clients must also comply with all relevant data protection and privacy laws, including those concerning the handling of personal data.
9. Term and Termination
- Term: These Terms remain in effect as long as you use our services.
- Termination: Either party may terminate the agreement at any time with written notice. Loop Marketers may terminate your access to our services immediately if you violate any of these Terms or engage in activities that breach our policies.
10. Disclaimers
- No Warranty: Loop Marketers does not guarantee that its services will be error-free, secure, or uninterrupted. We make no representations or warranties regarding the quality, reliability, or suitability of the services for your needs.
- Limitation of Liability: Loop Marketers' liability is limited to the maximum extent permitted by law. In no event will Loop Marketers be liable for indirect, incidental, or consequential damages arising out of your use of our services.
11. Indemnification
You agree to indemnify, defend, and hold harmless Loop Marketers, its affiliates, officers, employees, and agents from any claims, damages, losses, and expenses (including attorney fees) arising from your use of the services, including any violation of these Terms, applicable laws, or third-party rights.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the state in which Loop Marketers is incorporated, without regard to its conflict of law principles. Any disputes arising out of or related to these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
